The Procedures for Transactions with Related Parties was adopted by the Board of Directors of Mittel on 23 November 2010 and following edits, pursuant to and in accordance with article 2391-bis of the Italian Civil Code and the Consob Related Party Regulations, as well as Consob Communication no. DEM/10078683 of 24 September 2010, upon favourable opinion given by the Independent Directors Committee of Mittel S.p.A.
These Procedures establish the rules set out to ensure transparency and substantial and procedural fairness of transactions with related parties conducted by the Company directly or through subsidiaries.
